1 Acceptance of Terms

By accessing our website, using our services, or engaging with Lighthouse Innovations LLP in any capacity, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions.

If you are entering into these terms on behalf of a company or organisation, you represent that you have the authority to bind that entity. If you do not agree to these terms, please discontinue use of our services immediately.

3 Services We Provide

Lighthouse Innovations LLP offers the following categories of services:

• Custom product and software development (web, mobile, SaaS)
• AI integration and business process automation
• E-commerce and marketplace platform development
• Business systems including ERP and CRM solutions
• Operation and growth of proprietary products such as PREBUY

The exact scope, deliverables, timeline, and pricing for each engagement are defined in individual project agreements, proposals, or statements of work signed by both parties.

4 Use of Our Platforms

When using any platform or product operated by Lighthouse Innovations LLP (including PREBUY), you agree to:

• Provide accurate, complete, and up-to-date information when registering or transacting
• Not use the platform for unlawful, fraudulent, or harmful activities
• Not attempt to reverse-engineer, copy, or misappropriate any part of our technology
• Not engage in any activity that disrupts or interferes with our services or infrastructure

We reserve the right to suspend or terminate access for any user found in violation of these conditions without prior notice.

5 Intellectual Property

Upon receipt of full and cleared payment, clients receive full ownership of all custom deliverables specifically developed for them under a project agreement.

The following are expressly retained by Lighthouse Innovations LLP and are not transferred under any circumstances unless explicitly agreed in writing:

• Proprietary frameworks, code libraries, and development toolkits
• PREBUY platform, its codebase, brand, and all associated IP
• Internal tools, processes, and methodologies
• Marketing content, brand assets, and website materials

Any use of our brand name, logo, or trademarks requires prior written consent.

6 Payment & Billing

Payment terms are defined in each individual project agreement. General conditions include:

• Invoices are payable within the timeframe specified in the agreement
• Late payments may result in a pause or suspension of active work
• All prices are exclusive of applicable GST and other taxes unless stated otherwise
• Refunds, if applicable, are subject to the terms of the specific project agreement

7 Confidentiality

Both Lighthouse Innovations LLP and the client agree to treat all shared business information, strategies, technical details, and proprietary data as strictly confidential.

This obligation applies to:

• Business plans, financial data, and growth strategies
• Technical architecture, source code, and system designs
• Customer data, supplier details, and operational processes

This confidentiality obligation survives the termination or expiry of any engagement and remains in force for a period of three (3) years thereafter, unless a separate NDA specifies a different term.

8 Limitation of Liability

To the maximum extent permitted by applicable law, Lighthouse Innovations LLP shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of revenue, data, business, or goodwill
• Damages arising from third-party services or integrations

Our total aggregate liability to any client shall not exceed the total fees paid by that client in the three (3) months immediately preceding the event giving rise to the claim.

9 Termination

Either party may terminate an ongoing engagement by providing thirty (30) days' written notice to the other party.

Upon termination:

• The client is liable for full payment of all work completed up to the termination date
• Access to platforms, staging environments, and work-in-progress may be suspended pending final payment
• All completed and paid deliverables will be handed over in a timely manner

Lighthouse Innovations LLP may terminate immediately and without notice in cases of material breach, non-payment, or conduct that violates these terms.

10 Indemnification

You agree to indemnify, defend, and hold harmless Lighthouse Innovations LLP, its partners, employees, and affiliates from and against any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms & Conditions
• Your use or misuse of our platforms or services
• Content or data you provide that infringes third-party rights
• Violations of applicable laws or regulations by you

11 Amendments

Lighthouse Innovations LLP reserves the right to update or modify these Terms & Conditions at any time. Changes will be communicated via our website or by email to registered users and clients.

Continued use of our services after any amendment constitutes acceptance of the revised terms. We recommend reviewing this page periodically.

12 Governing Law & Disputes

These Terms & Conditions are governed by and construed in accordance with the laws of India.

Any dispute arising from or in connection with these terms shall first be attempted to be resolved amicably between both parties within thirty (30) days of written notice. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu, India.
